AwareX provides comprehensive cybersecurity awareness training and
compliance tools to companies, their employees, and partners. Our
mission is to empower organizations to maintain robust information

Please read these Terms and Conditions carefully. If you do not agree
with any part of these terms, you must not use the Platform.
Eligibility
To use the AwareX Platform, you must meet the following eligibility
requirements:

on behalf of a company, you must be an authorized representative
with the authority to bind the company to these Terms and

Account Registration and Security
To access and use the AwareX Platform, you are required to register an
account. By creating an account, you agree to the following:

may lead to immediate suspension or termination.

Platform, including using antivirus software and safeguarding

Partner Program
The AwareX Partner Program is designed to collaborate with businesses,
organizations, and individuals to extend the reach of our Information
Security training and compliance solutions. By enrolling in the
Partner Program, you agree to the following terms and conditions:

Eligibility: To become a partner, you must meet the
eligibility criteria outlined by AwareX, including but not limited
to having a registered business entity, a demonstrated commitment to
Information Security, and adherence to applicable laws and
regulations.

Application Process: All prospective partners must
complete the registration form and provide accurate, up-to-date
information. AwareX reserves the right to approve or decline
applications at its sole discretion.

Partner Responsibilities: As a partner, you agree
to:

Promote AwareX solutions in a professional and ethical manner.

Comply with all applicable laws, including those related to
advertising and marketing practices.

Provide accurate and timely information to your customers about
AwareX products and services.

Brand Guidelines: Partners are granted limited,
non-exclusive rights to use AwareX branding materials for
promotional purposes. All use of AwareX branding must comply with
our brand guidelines, which will be provided upon acceptance into
the program.

Compensation and Benefits: Approved partners may be
eligible for commissions, discounts, or other benefits as outlined
in the Partner Program Agreement. These benefits are subject to
compliance with the terms of the program.

Termination: AwareX reserves the right to terminate
your participation in the Partner Program at any time if you violate
these Terms, fail to meet program requirements, or engage in conduct
detrimental to the AwareX brand.

Confidentiality: As a partner, you agree to
maintain the confidentiality of any non-public information shared by
AwareX, including but not limited to pricing, customer data, and
internal processes.

Content Ownership and Intellectual Property
All content provided on the AwareX platform, including but not limited
to training materials, videos, quizzes, text, graphics, logos,
trademarks, and software, is the exclusive property of AwareX or its
licensors and is protected by applicable intellectual property laws.

License to Use: AwareX grants users a limited,
non-exclusive, non-transferable, and revocable license to access and
use the platform's content solely for personal or organizational
training purposes in compliance with these Terms and Conditions.

Prohibited Actions: Users are strictly prohibited

Copying, reproducing, distributing, or modifying any platform
content without prior written consent from AwareX.

Reverse engineering, decompiling, or attempting to extract the
source code of any software on the platform.

User Responsibilities
By using the AwareX platform, you agree to abide by the following

suspension or termination of your account and access to the platform,
at AwareX’s discretion.
Platform Availability and Maintenance
AwareX strives to provide reliable and continuous access to the
platform. However, we do not guarantee uninterrupted availability or
error-free operation at all times. By using the platform, you
acknowledge and agree to the following:

Maintenance and Downtime: AwareX may schedule
maintenance, updates, or upgrades that may temporarily affect the
platform's availability. We will make reasonable efforts to notify
users in advance of planned maintenance periods.

Unplanned Interruptions: The platform may
experience unexpected downtime due to technical issues, security
incidents, or factors beyond our control, such as internet outages
or natural disasters. AwareX will work to resolve such issues
promptly.

Updates and Enhancements: AwareX reserves the right
to modify, update, or discontinue features, functionalities, or
sections of the platform as part of ongoing improvements or changes
to the service.

No Liability for Downtime: AwareX is not liable for
any losses or damages resulting from platform unavailability,
including but not limited to delays, missed opportunities, or
operational disruptions.

User Cooperation: Users are responsible for
ensuring their devices, browsers, and internet connections meet the
platform’s technical requirements to minimize accessibility issues.
We appreciate your understanding and patience during periods of
maintenance or unforeseen interruptions. Our goal is to ensure a
secure and high-quality experience for all users.
Termination
AwareX reserves the right to terminate or suspend your access to the
platform at any time, with or without notice, for any of the following
reasons:

Violation of Terms: If you breach any of the terms
and conditions outlined in this agreement or any applicable
policies, your access to the platform may be revoked.

Illegal or Unauthorized Activities: If your actions
are found to be unlawful, fraudulent, or harmful to AwareX, other
users, or third parties, your access may be terminated immediately.

Non-Payment: Failure to pay any applicable fees or
charges for the platform's services may result in suspension or
termination of your account.

Inactivity: AwareX may terminate accounts that have
been inactive for an extended period, as determined at its sole
discretion.

Discontinuation of the Platform: If AwareX decides
to discontinue the platform or specific services, all user accounts
may be terminated as part of this decision.
Upon termination of your account:

You will no longer have access to the platform or any associated
services.

Any data or content you have stored on the platform may be deleted
and cannot be recovered.

You remain liable for any outstanding payments or obligations
incurred prior to termination.
If you wish to terminate your account voluntarily, you may do so by
contacting AwareX customer support. Please note that any fees already
paid are non-refundable.
Limitation of Liability
To the fullest extent permitted by applicable law, AwareX, its
affiliates, officers, directors, employees, agents, and partners shall
not be liable for any direct, indirect, incidental, consequential,
special, exemplary, or punitive damages, including but not limited to:
- Loss of profits, revenue, data, or business opportunities.
- Interruptions to business or downtime.

Errors, inaccuracies, or omissions in the content or services
provided on the platform.

Unauthorized access to or use of your account, data, or content.
-
Any other damages resulting from your use of or inability to use the
platform, whether based on warranty, contract, tort (including
negligence), or any other legal theory.
AwareX's total liability for any claims related to the use of the
platform shall not exceed the amount you have paid to AwareX for
services during the 12 months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of
liability for certain damages. In such cases, the liability of AwareX
will be limited to the greatest extent permitted by applicable law.
Modification to the Terms
AwareX reserves the right to modify, amend, or update these Terms and
Conditions at any time. Any such changes will be effective immediately
upon posting the revised version on the platform. The date of the
latest revision will be indicated at the top of the Terms and
Conditions page.
It is your responsibility to review the Terms and Conditions
periodically to stay informed of any updates. By continuing to access
or use the platform after changes have been made, you agree to be
bound by the updated Terms and Conditions.
If you do not agree to the revised terms, you must discontinue your
use of the platform immediately.
Governing Laws and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance
with the laws of Florianopolis, Santa Caterina, Brazil, without regard
to its conflict of law principles. By accessing and using the
platform, you agree to submit to the exclusive jurisdiction of the
courts located in Florianopolis, Santa Caterina, Brazil for the
resolution of any disputes or claims arising out of or in connection
with these Terms and Conditions.
In the event of any dispute, claim, or controversy arising out of or
relating to these Terms, the platform, or your use thereof, you and
AwareX agree to first attempt to resolve the matter through informal
discussions. If the dispute cannot be resolved informally within 30
days, either party may seek resolution through binding arbitration or
litigation in accordance with applicable laws.
Any arbitration proceedings will be conducted confidentially in
Florianopolis, Santa Caterina, Brazil and in accordance with the rules
of [Arbitration Organization]. The arbitrator’s decision will be final
and binding, and judgment on the award rendered may be entered in any
court of competent jurisdiction.
